Terms of Service

These Terms of Service ("Terms") govern your access to the website arct.cloud (the "Platform") and the virtual private server and related infrastructure services (the "Services") provided by Arct Technology LLC ("Arct Cloud", "Company", "we", "us", "our"), a Wyoming limited liability company.
By accessing the Platform, creating an account, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must stop using the Platform and Services immediately.
1. Account Registration & Ownership
Age Requirement
You must be at least 18 years old to create an account.
Creating an Account
To use the Services, you must create an account by providing accurate and complete registration information (name, email address, password).
Corporate Ownership
If you are signing up for the Services on behalf of your employer or a corporate entity, your employer shall be considered the Account Owner. You warrant that you have the legal authority to bind your employer to these Terms.
Account Responsibilities
- You are entirely responsible for maintaining the confidentiality of your credentials
- You are responsible for all activity that occurs under your account
- You must notify us immediately at [email protected] if you suspect unauthorized access
- You may not share your account credentials or allow others to access your account
- You must keep your account information accurate and up to date
Account Termination by Company
We may suspend or terminate your account at our sole discretion if:
- You violate these Terms or our Acceptable Use Policy
- Your account is used for fraudulent or illegal activity
- You fail to pay for Services when due
- Required by applicable law or legal process
2. Fees, Billing & Renewals
Pricing
Service fees are listed on the Platform. Prices are in U.S. dollars unless otherwise stated. We offer monthly, quarterly, and semi-annual billing cycles.
Payments
- Services are billed on a prepaid basis
- We accept standard credit/debit cards and supported cryptocurrencies
- All payments are processed through third-party payment processors (Stripe, CryptoMus). We do not store full payment card details
- You authorize us to charge your selected payment method for all fees incurred
Auto-Renewal
Subscriptions renew automatically at the end of each billing period. You may cancel auto-renewal at any time via the Platform dashboard prior to your next billing date. We will send a renewal notice via email at least 7 days before the renewal date.
Late Payments
Failure to pay may result in:
- A reminder notice
- Immediate service suspension after a grace period
- Account termination and eventual data deletion if payment remains outstanding
Price Changes
We reserve the right to change pricing. Price changes take effect at the next renewal period. We will notify you by email before any price increase.
3. Refund & Cancellation Policy
General Rule
As computing resources are provisioned instantly, all sales are final. We do not offer standard refunds.
Cancellation
You may cancel your server subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period — you will retain access until that date. No partial refunds are issued for unused time within a paid billing period.
Exceptions
Under limited circumstances, refunds may be granted at our sole discretion, such as:
- Extended service outages caused by issues on our end
- Billing errors made by the Company
- Other exceptional situations as determined by our team
If a refund is approved, we reserve the right to deduct:
- An administrative fee of 5% of the order total
- Payment processing fees (3.9% + $0.30)
Prorated Refund Calculation
If a prorated refund is approved, it is calculated based on unused days:
(Monthly Cost / Total Days in Period) x Unused Days = Prorated AmountFees are deducted from the prorated amount before the refund is issued.
Chargebacks
Initiating a payment dispute or chargeback without contacting our support team first will result in immediate account termination. Please contact [email protected] to resolve any billing concerns before initiating a dispute with your payment provider.
Refunds, if issued, typically reflect on your statement within 5–10 business days.
4. User Content & Data Security
Your Data
You retain full ownership of all data hosted on your VPS ("User Data"). You are solely responsible for maintaining backups. We access your server strictly as needed to provide support or maintain infrastructure.
License to Us
You grant us a limited license to access, store, and process your User Data solely as necessary to provide the Services (e.g., performing backups, migrations, or troubleshooting at your request).
Data Deletion
Upon account termination:
- Your server(s) and associated data will be scheduled for deletion
- We may retain billing and transaction records as required by law
- We are not responsible for any data loss resulting from account termination
5. Intellectual Property & Marketing Rights
Our Property
The Platform, its code, and branding remain the exclusive property of Arct Technology LLC. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our prior written consent.
Limited License
We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform solely for the purpose of using the Services.
PPC & Trademark Ban
You may not purchase search engine pay-per-click keywords (e.g., Google Ads) or register domain names that use "Arct Cloud" or our trademarks, variations, or misspellings thereof.
Promotional License
By using our Services, you grant Arct Cloud the non-exclusive right to use your company's name, trademarks, and logos on our website and marketing materials to promote our Services. You may opt out of this by contacting [email protected].
6. Third-Party Services
You may choose to install third-party software (e.g., control panels, apps) on your servers or use third-party integrations provided in our dashboard. We provide no warranties for third-party services. You use them at your own risk, and Arct Cloud shall not be liable for any data loss, security breaches, or damages caused by third-party software.
7. Acceptable Use
Your use of the Services is subject to our Acceptable Use Policy (AUP). Violations of the AUP may result in suspension or termination of your account.
8. Prohibited Conduct
While using the Platform or Services, you may not:
- Violate any applicable law or regulation
- Interfere with or disrupt the Platform or Services
- Attempt to gain unauthorized access to any system or network
- Use the Services for any purpose prohibited by our Acceptable Use Policy
- Resell or redistribute the Services without our authorization
- Provide false or misleading information during registration or use
- Harass, threaten, or abuse other users or our staff
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. We may temporarily suspend the Services for:
- Scheduled maintenance (with reasonable advance notice)
- Emergency maintenance or security patches
- Events beyond our reasonable control (force majeure)
We are not liable for any downtime or service interruption.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
11. Limitation of Liability & Governing Law
Liability Cap
Arct Technology LLC shall not be liable for indirect, incidental, special, or consequential damages (including data loss or business interruption). Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
Governing Law
These Terms are governed by the laws of the State of Wyoming, expressly excluding the United Nations Convention on Contracts for the International Sale of Goods. Any disputes shall be resolved by binding arbitration in Sheridan, Wyoming.
Each party irrevocably waives any right to a jury trial.
12. Indemnification
You agree to indemnify and hold harmless Arct Technology LLC, its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Services
- Your violation of these Terms or the Acceptable Use Policy
- Your violation of any applicable law or third-party rights
- Your User Data or any content you transmit through the Services
13. Changes to These Terms
We may modify these Terms at any time. We will notify you of material changes via email or a notice on the Platform at least 30 days before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
If you disagree with the changes, you may terminate your account before the effective date.
14. General Provisions
- Severability — If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
- Waiver — Our failure to enforce any provision does not waive our right to enforce it later.
- Assignment — You may not assign your rights under these Terms without our consent. We may assign our rights at any time.
- Entire Agreement — These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Arct Cloud.
- Force Majeure — We are not liable for delays or failures caused by events beyond our reasonable control.
